Business Valuation FAQ

Straight answers to the questions business owners, attorneys, and CPAs ask us most often.

What does a business valuation cost?

Fees depend on the purpose of the valuation, the complexity of the entity, and the level of report required. A calculation of value for internal planning costs less than a full conclusion of value; litigation engagements cost more because they include rebuttal work and testimony. ValuGenius quotes a fixed fee after a short scoping call, before any work begins.

How long does a business valuation take?

Most engagements are delivered two to four weeks after we receive a complete set of documents. Expedited timelines are available when a filing deadline or hearing date requires one. The clock generally starts when the financial statements, tax returns, and governing documents are in hand, not at engagement.

What documents do you need to value a business?

Typically three to five years of tax returns and financial statements, year-to-date interim financials, accounts receivable and payable aging, a fixed asset schedule, owner compensation and perquisite detail, organizational documents, and any buy-sell or shareholder agreement. Industry-specific items may be added depending on the business.

What is the difference between fair market value and fair value?

Fair market value is the price a hypothetical willing buyer and willing seller would agree on, and it is the standard used for gift, estate, and most transaction work. Fair value is a legally defined standard that varies by state and by statute, and it often excludes the minority and marketability discounts that fair market value permits. The applicable standard is usually set by the statute, the court, or the governing agreement rather than chosen by the appraiser.

Do you provide expert witness testimony?

Yes. ValuGenius prepares expert reports and provides deposition and trial testimony in shareholder disputes, economic damages matters, and family law cases, and also serves as a jointly retained or court-appointed neutral.

Are your reports acceptable to the IRS and to the courts?

Reports are prepared in accordance with NACVA professional standards and, where the engagement requires it, USPAP. Gift and estate work follows Revenue Ruling 59-60 and the qualified appraisal requirements, and documents discounts with empirical study support so the conclusion can be defended on examination.

Do you value businesses outside Houston?

Yes. ValuGenius is based in Houston and serves clients throughout Harris, Fort Bend, and Montgomery counties and across Texas, and accepts engagements nationally. Most work is performed remotely, with site visits and management interviews arranged where the assignment calls for them.

Why does the valuation date matter so much?

A valuation is an opinion as of one specific date, using only information known or knowable on that date. In estate work the date is fixed by statute; in divorce and litigation it is set by the court or agreement. Moving the date changes the financial data, the market multiples, and often the conclusion, so it is settled before the analysis begins.

What credentials does ValuGenius hold?

Engagements are led by Samir Nangia, CVA, MBA, founder and principal of ValuGenius, whose career spans energy, corporate finance, and equity research. The Certified Valuation Analyst credential is issued by the National Association of Certified Valuators and Analysts.
